As announced in the announcement of the company no. 7/2021 Roblon has signed an agreement for the acquisition of Vamafil spol. sro on December 9, 2021 with the acquisition date on January 3, 2022.
Completion of the transaction was subject to confirmatory due diligence on a few points, management retention and other customary closing conditions. This was done with satisfactory results and the parties have agreed to complete the transaction as agreed.
The agreed purchase price of the shares is 8 million euros, and the preliminary adjustments made for net debt and working capital normalization have been calculated at 0.7 million euros. A total of EUR 8.7m has been paid today, of which EUR 1.5m is retained via an escrow contract as collateral for the seller’s warranty obligations for 18 months from today’s date.
As previously announced, Roblon intends to further develop the existing business line of Vamafil. In addition, the acquisition of Vamafil will facilitate Roblon’s growth in its core business within the fiber optic cable industry and enhance competitiveness and profitability by moving parts of its production facilities from Denmark to the Czech Republic. .
With the relocation, Roblon will also get closer geographically to the majority of manufacturers in the European fiber optic cable industry. This means that Roblon’s position will be comparable to that achieved in the United States with the company’s location in North Carolina. Given the current resurgence of COVID-19, the planned relocation will be initiated once the spread of the virus has stabilized and the risk of travel restrictions in the Czech Republic and Denmark has been reduced. The move is expected to take place in mid-spring 2022 and be completed by the end of 2022.
